Terms of Service

These Terms of Service (“Terms”) govern your use of skillspark.ca and any related content, products, and services (the “Site”). SkillSpark is a division of Ayres Capital Enterprises LTD., a company incorporated in Ontario, Canada (“we”, “us”, “our”). By accessing or using the Site, you agree to be bound by these Terms.
1. Acceptance of these Terms
By visiting, browsing, or using skillspark.ca, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site. You must be of legal age to form a binding contract in your jurisdiction.
2. Use of the Site
You agree to use the Site lawfully and responsibly. You must not:
- Use the Site in any way that breaches applicable laws or regulations.
- Attempt to gain unauthorized access to the Site, its servers, or connected systems.
- Introduce viruses, malware, or other harmful code.
- Interfere with or disrupt the Site or other users’ use of it.
- Copy, scrape, or harvest content or data except as expressly permitted.

SkillSpark and associated logos are trademarks or brand names of Ayres Capital Enterprises LTD.
4. User submissions
If you send us content (through a contact form, review, or message), you confirm it is accurate, lawful, and does not infringe anyone’s rights. You grant us a non-exclusive, royalty-free licence to use that content for the purpose for which you submitted it. We may remove any submission at our discretion.
5. Disclaimers
The Site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranties, express or implied, about the Site’s accuracy, completeness, reliability, fitness for a particular purpose, or availability. Content is for general information only and is not professional, legal, financial, or technical advice. We do not guarantee the Site will be uninterrupted, secure, or error-free.
6. Limitation of liability
To the fullest extent permitted by law, Ayres Capital Enterprises LTD. and its directors, officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of (or inability to use) the Site. Where liability cannot be excluded, our total aggregate liability is limited to the amount you paid us (if any) for the relevant product or service, or CAD $100, whichever is greater. Nothing here limits liability that cannot lawfully be limited, including for fraud or under Ontario or Canadian consumer-protection law.

The Site may link to or rely on third-party websites and services (such as analytics and hosting providers). We are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.
8. Indemnification
You agree to indemnify and hold harmless Ayres Capital Enterprises LTD. and its representatives from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.
9. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. You agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rights you may have.
10. Changes to these Terms
We may update these Terms from time to time. The effective date above shows when they were last revised. Changes take effect when posted on this page. Continued use of the Site after changes are posted means you accept the updated Terms.
11. Severability and entire agreement
If any provision is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Site.
